Terms of Service
These Terms govern your use of the Vouchwise website at roadigo.ai/vouchwise, the Vouchwise web application, and the Vouchwise offline edition (together, the “Service”). By using the Service you agree to these Terms. If you use the Service on behalf of a firm, you confirm you are authorized to bind that firm.
1. What the Service does
Vouchwise reads the files you choose (client financial statements, ledgers, your own report, workpapers), checks the figures in them, and produces a draft report and a list of exceptions with highlighted figures that point back to the source cell. The engine runs inside your browser. In the web edition, your files are processed in your browser and are not transmitted to us. In the offline edition, the application is a single file that makes no network requests at all. See our Privacy Policy and Security page for how to verify this yourself.
2. Professional use; the output is a draft
The Service is a tool for accounting and audit professionals. Everything it produces is a draft for your review. It does not perform an audit, review, compilation or any other attest or assurance engagement, does not express an opinion, and does not replace your professional judgment. You are solely responsible for the procedures you perform, the conclusions you reach, and every report you sign or issue. Regulatory citations shown in the Service are compiled from public sources as of the date stated in the application and are provided for reference only; they are not legal or tax advice, and you must confirm they are current and applicable before relying on them. The Disclaimer is part of these Terms.

An “engagement” is one folder (or set of files) processed into a draft. Re-running the same client folder within the same month counts once. Prices are in US dollars and exclude taxes, which are calculated at checkout. We may change prices for future billing periods with at least 30 days' notice by email; changes do not affect a period you have already paid for.
4. Payment, renewal, refunds
Payments are processed by Stripe; we do not store card numbers. Subscriptions renew automatically at the end of each term unless cancelled before renewal; you can cancel at any time from the billing link in your receipt, and your plan stays active until the end of the paid term. If you are not satisfied with a first purchase, email us within 14 days for a full refund; for the offline edition the license is revoked when a refund is issued. Refunds are not available for renewals or for additional engagements already used. If a payment fails, we may downgrade the account to Free after notice.
5. Offline edition license
The offline edition is licensed, not sold. Subject to these Terms, Asteryn grants the named licensee a non-exclusive, non-transferable license to install and use the offline edition on devices the licensee personally uses, for the licensee's professional work. The license key is a signed text that contains your email address and your update expiry date; the application verifies it locally and never contacts a server to do so. You may not share, sell, sublicense or publish the license key, remove or alter notices, or circumvent the license check. You may not reverse engineer the application except to the extent applicable law expressly permits. Updates released after your update period are not covered unless you renew; you keep the right to use the versions you already downloaded.
6. Acceptable use
You agree not to: use the Service to process files you have no right to process; attempt to access other users' accounts or data; interfere with the Service or its infrastructure; resell or offer the Service as a service bureau without a written agreement; use the Service in violation of applicable law, professional standards, or confidentiality obligations you owe to your clients.
7. Your files and your data
You retain all rights in the files you process and in the drafts and exports the Service produces for you. Because the engine runs in your browser, we do not receive, store or have access to your files. Account data (such as your email address, plan and monthly engagement count) is handled as described in the Privacy Policy. Review notes, sign-off state and manual edits are stored in your browser's local storage on your device; clearing browser data deletes them, and we cannot recover them.
8. Intellectual property
The Service, including its software, rule packs, templates, designs and documentation, is owned by Asteryn and protected by copyright and other laws. These Terms do not grant you any right in our trademarks. Sample engagements included in the Service are either fictional or built from publicly filed annual reports and are provided for practice only.
9. Availability and changes
We aim to keep the web edition available but do not guarantee uninterrupted availability. We may change, suspend or discontinue features; if we discontinue the web edition entirely we will give paying users at least 90 days' notice and the ability to export their data. The offline edition keeps working regardless of the web edition's availability.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTERYN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT EVERY ERROR IN YOUR FILES OR THAT ITS OUTPUT IS COMPLETE, CURRENT OR SUITABLE FOR ISSUANCE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTERYN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, PROFESSIONAL LIABILITY CLAIMS, REGULATORY PENALTIES OR CLIENT CLAIMS ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ITS OUTPUT. ASTERYN'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR US$100 IF YOU PAID NOTHING. Some jurisdictions do not allow some of these limitations; in that case they apply to the extent permitted.
12. Indemnity
You will defend and indemnify Asteryn against third-party claims arising from files you process, reports you issue, or your breach of these Terms or of professional obligations.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms after notice where practical. Sections 2, 5 (restrictions), 7, 8 and 10–15 survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of [STATE OF FORMATION], USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in [COUNTY, STATE], and you consent to their jurisdiction, except that either party may seek injunctive relief in any competent court. If you are a consumer in a jurisdiction whose mandatory law gives you additional rights, nothing here limits them.
15. General
These Terms, the Privacy Policy and the Disclaimer are the entire agreement between you and Asteryn about the Service. If a provision is unenforceable the rest remains in effect. We may update these Terms; material changes will be announced on this page and, for paying users, by email at least 14 days before they take effect. Continued use after that date is acceptance.
